Account Deactivation Agreement

This Agreement is entered into between you (hereinafter referred to as "the User") and Dieyuyun Technology (Shenzhen) Co., Ltd. (hereinafter referred to as "we", "us", or "our") regarding your request to deactivate your account on the Wuliang AI Open Platform (hereinafter referred to as "the Platform"). Please read and fully understand the entire Agreement before submitting a deactivation request. By clicking "Confirm Deactivation" and completing the deactivation process, you acknowledge that you have fully understood and accepted all terms of this Agreement.
1. Prerequisites for Deactivation
Before submitting a deactivation request, you should ensure the following conditions are met. The system will perform pre-checks and provide guidance if any condition is not satisfied:
1.1 You are not the sole super administrator of any enterprise. If you are, please transfer the super admin role or dissolve the enterprise first.
1.2 Your real-money balance (balance) is 0. If you still have a balance, please apply for a refund and wait for the refund to complete.
1.3 There are no pending, approved, or refunding refund requests, invoice applications, or payment callbacks in progress.
1.4 There are no recharge orders in the PENDING payment state.
2. Effects of Deactivation
After your account is deactivated, the following data and services will be irreversibly affected:
2.1 Account and Login: Your account will be disabled, all login sessions (including multi-device sessions) will be forcibly terminated, and you will no longer be able to log in to the Platform using this account.
2.2 API Keys: All API Keys under your account will be immediately invalidated. External applications or integrations relying on these API Keys will stop working and cannot be recovered.
2.3 Promotional Credits: Your promotional credit balance (giftBalance) will be reset to zero. It cannot be converted to cash or refunded.
2.4 Data Access: Your conversation history, uploaded files, recharge orders, consumption records, account flows, invoice applications, and other data will no longer be accessible.
2.5 Enterprise Memberships: If you are a regular member of an enterprise, the system will automatically remove you from that enterprise; your membership and associated permissions will be revoked.
2.6 Referral Relationships: Your referral code and referral relationships will be invalidated along with your account. Rewards already granted (rewarded) to referrers will not be clawed back; rewards in a pending state will be canceled.
2.7 Third-Party Account Bindings: Your bindings with third-party OAuth accounts such as GitHub and Gitee will be removed. You will need to rebind them after re-registering.
2.8 New-User Benefits: Your phone number and email address will be recorded in the Platform's anti-abuse audit log. If you or another person reuses these identifiers to register a new account in the future, that new account will not be eligible for new-user benefits such as registration bonuses or referral rewards.
3. Data Handling
3.1 Soft Deletion: To address disputes, comply with audits, and meet legal retention obligations, your account and related data will first undergo "soft deletion" (removed from the Platform's interface and your visible scope, but retained in our systems).
3.2 Physical Deletion: After 30 days of soft deletion, we will physically delete or anonymize the relevant data, after which it cannot be recovered.
3.3 Legal Retention: In accordance with the PRC E-Commerce Law, Cybersecurity Law, Personal Information Protection Law, and other applicable laws and regulations, certain transaction records and operational logs may need to be retained for a longer period (no less than three years). Such retention does not affect the deactivated status of your account.
3.4 Third-Party Data: If you have used the Platform to call third-party model services, relevant request records may have been transmitted to third-party service providers. We have no control over the retention or processing of transmitted data by third parties.
4. Irreversibility
4.1 Account deactivation is an irreversible operation. Once completed, you cannot recover your account, retrieve your data, or request reinstatement of promotional credits or canceled referral rewards.
4.2 The Platform does not provide a cooling-off period. Deactivation takes effect immediately upon submission. Please fully evaluate the impact before submitting.
4.3 After deactivation, you may use the same phone number or email address to register a brand-new account. The new account will be treated as a new user and will not inherit any data, balance, referral relationships, or enterprise qualifications from the deactivated account. As described in Section 2.8, new-user benefits will not be available on such accounts.
5. Exceptions
We may be unable to process or may suspend your deactivation request in the following circumstances:
5.1 Where laws or regulations require the account to be retained (e.g., judicial freezes, administrative investigations).
5.2 Where there are unresolved disputes, complaints, lawsuits, or arbitrations.
5.3 Where deactivation is otherwise restricted by the Terms of Service or applicable laws and regulations.
We will resume processing your deactivation request once these circumstances are resolved.
6. Rights and Obligations After Deactivation
6.1 Deactivation does not release you from legal liability incurred prior to deactivation. You remain responsible for any prior conduct (including but not limited to abusive use, infringement, or unpaid fees).
6.2 After deactivation, we will cease active processing of your personal information, except where otherwise required by law or agreed by both parties.
6.3 We will send a deactivation confirmation email to your registered email address as proof of completion. If you did not initiate this action, please contact us promptly.
7. Miscellaneous
7.1 This Agreement is governed by the laws of the People's Republic of China. Any disputes arising from this Agreement shall be resolved through friendly negotiation; if negotiation fails, the dispute shall be submitted to the competent People's Court at the defendant's domicile.
7.2 This Agreement supplements the Terms of Service and Privacy Policy. In the event of any inconsistency between this Agreement and those documents, this Agreement shall prevail; for matters not covered herein, the aforementioned documents and applicable laws and regulations shall apply.
7.3 The headings of the clauses in this Agreement are for convenience only and do not affect the meaning or interpretation of the clauses.
